This General Service Agreement (the “Agreement”) on the date signed, is between the client of the address previously noted, herein referred to as “Client” and HotShot Management Inc, of PO Box 803, Station “A”, Nanaimo, BC, V9R 5N2, also known as WPDoneRight.com, herein referred to as “HSM”.

HSM has agreed to provide technical and other services to the Client on the terms and conditions set out in this Agreement.

Term of Agreement *

It is agreed that this Agreement’s effective date will be the date of the digital signature, and will continue until terminated in compliance with the termination clause of this Agreement.

Scope of Work *

HSM will provide Client with services as discussed and documented in email and in any "Scope of Work" document signed elsewhere around this date, and may be expanded as needed from analysis and discovery sessions. Work will be performed and conducted exclusively by staff and contractors of HSM with discretion to subcontract non mission critical tasks (the “Services”).
Additional work outside the scope as defined will be billed separately. Immediate Notification will be given to client if any proposed work falls outside the original scope or planned work.

Cancellation *

If either party seeks cancellation of this Agreement, either party must apply to cancel the agreement by email with minimum 30 days of notice leading to the next billing date, typically the first day of each month. Except as otherwise provided in this Agreement, the obligations of HSM and Client will end upon termination of this Agreement. Any outstanding payments shall be immediately due to to HSM for work performed up to termination date, as governed by section titled "Payment Terms".

Payment Terms *

For all web design services not on a monthly payment plan, a 50% deposit must be made prior to the start of work, and the remaining amount is due prior to the launch of the website. The estimated amount has been previously agreed via email, or by a payment schedule agreement, and will be invoiced upon execution of this contract.
For all web design services and hosting on a monthly payment plan, an initial monthly payment must be made prior to the start of work, and the remaining payments will take place starting the first of the month following this initial payment, regardless of the date of the first payment. If the development phase exceeds six months, an additional fee may be required. Please see your initial project proposal for the estimated time frames.
Client agrees and understands that because resources must be allocated well in advance, mid-project cancellation and/or redirection does not relieve the client of the obligation to make full payment of both deposit and all other scheduled monthly or other payments, including final payment for the project. Full compensation is still required. Upon cancellation, client may choose to continue any previously-scheduled monthly payments as per the original schedule, or make a lump sum payment equal to all outstanding scheduled payments.
For all hosting and support services and for monthly payment plans, a monthly fee is due on the first of each month for the leading month. This will be automatically charged to the credit card on file. No credit card information is stored on our servers, and all charges are handled by the credit card processor.
For any additional expenses or work not originally authorized, work will be billed hourly at the current Shop Rate, at the completion of the project, and is due on receipt. If you have requested billing in another currency, conversion will happen before billing, and you can pay in your native currency.

Revisions Schedule and Limitations *

Unless otherwise agreed in writing, Client understands and agrees to a limit of TWO revision passes on any design. Each review will include the opportunity to do a complete review pass on all areas of the website, including all content and design items. It is up to the client to follow all instructions for submission of any change requests, including formats and time frames given.
Client understands and agrees that delayed revision schedule may cause increased costs due to staff allocation and parallel project delays.

Mutual Non-Disclosure and Non-Circumvention *

All of the undersigned parties have agreed that it is in the parties’ mutual interest to disclose certain proprietary and confidential information, trade secrets, and market strategies which are not generally known by other persons, including but not limited to inventions, product description, documentation, customer information, pricing structures, technical specifications or data, product design, packaging concept or design, and distribution channels and other similar information which may be disclosed between the undersigned, their agents or principles. The parties agree not to publish, release, disclose or allow to be viewed or communicated in any form to any person not a party to this agreement, the information, trade secrets or strategies of either party, without the disclosing party’s prior written permission, and to use such information, trade secrets and strategies only for the purpose of evaluating proposals and projects or developing projects pursuant to a written agreement authorizing the application. All materials, written or digital will be returned at completion of contract or at the request of the disclosing party.
All of the parties agree to non-circumvention of customers and/or business relationships without prior consent through written, binding instrument amended to this agreement. The parties agree to hold any information, trade secrets and strategies in confidence and not disclose the same to any third party or use the same for competitive purpose or advantage.

Rights and Ownership of Intellectual Property *

Disclosure by all parties of such information, trade secrets and strategies shall not confer any rights of use or interest in the same. All intellectual property and related material, including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design, and trade name (the “Intellectual Property”) that is developed or produced under this Agreement will be the sole property of the original discloser. The use of the Intellectual Property by the Client or Service Provider will not be restricted in any manner. This agreement does not convey any rights to reverse engineer with the purpose of obtaining a working model of similar product or technology.
Client agrees that any specified use of materials directed or given to HSM, including software, photography, text or other content, video or other images, are obtained legally and in full compliance with copyright law. If this is found to not be the case, HSM is held harmless and free of any legal liability or prosecution resulting thereof.

IMPORTANT --> Please ensure that all stock photography not obtained by HSM through our standard channels is appropriately licensed.

Warranty *

Our warranty guarantees 100% website function on launch and as long as the website is under a monthly Care Plan. All sites on our Care Plans receive daily updates and required maintenance at NO additional charge - this is covered under your Care Plan. All websites that are not hosted on our secure cloud servers and covered by a Care Plan must receive regular updates and maintenance by trained personnel.
Client understands and agrees that websites not covered by a monthly Care Plan are not covered by our warranty after launch. Repairs that must be performed due to lack of maintenance will be charged at our current hourly Shop Rate.
Client understands and agrees that any website covered by one of our Care Plans are guaranteed to have maximum uptime as our secure, redundant, cloud-based servers allow. We cannot control the internet or the actions of third parties. Uptime guarantees do NOT apply when a website has been altered, damaged, deliberatedly undermined, hacked, abandoned, neglected, or otherwise disabled. Client understands and agrees that damage caused by any of these sources is NOT covered under their warranty. If requested, every effort will be made to efficiently and quickly make repairs to your site. Our goal is to ALWAYS prioritize past and current clients - when you look good, we look good.

Relief and Damages *

Either party may obtain injunctive relief in the event of breach by the other, in addition to actual damages and all other remedies available by law. The parties recognize that breach may cause irreparable injury and that damages will not provide an adequate remedy. Such action may be brought in the jurisdiction where such action is sought to be enjoined Provincial Courts located nearest to Nanaimo, BC, Canada. The Client will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.

Return of Property *

Upon the expiry or termination of this Agreement or discussions, HSM will return any and all property, documentation, records, tangible representations of such information, trade secrets or strategies, or other information specified in this Agreement which is the property of the Client. HSM will not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Client.

Modification of Agreement *

Any modifications or amendments to this Agreement will be binding if evidenced in writing signed by each Party. eMail may be a designated communication of these modifications, when specifically stated.

Force Majeure *

Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, pandemic, hacking, extortion, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party's reasonable control.

Notice *

All notices or demands required or permitted by the terms of this Agreement will be given in writing here on this website, and delivered to the parties via email.
