Ownership of Photos and Video: *

The Photographer/Videographer agrees that upon full payment from the Client, all rights, title, and interest in the media taken during the agreed-upon services shall be transferred to the Client. The Client shall have the exclusive right to use, reproduce, display, distribute, and/or modify the media for any lawful purpose.

Usage Rights for Photographer/Videographer *

The Photographer/Videographer shall have the right to use the media for self-promotional purposes, including but not limited to the display of select images on their portfolio, website, social media accounts, and promotional materials. The Photographer/Videographer agrees not to sell or license the imagery to any third party.

Payment Terms *

The Client agrees to pay the Photographer/Videographer the agreed-upon fee and fee schedule for the media services as per agreed separately via email or other written media. Payment schedule may include full payment on delivery of media, a pre-agreed-upon deposit and final payment on delivery, or payment plan included with a website or other packaged service. Payment methods may include credit cards, business cheque, or etransfer.

Cancellation and Rescheduling *

In the event that the Client cancels the media services, the Client shall be responsible for a cancellation fee equal to 50% of the agreed price, unless otherwise agreed upon in writing. The Photographer/Videographer reserves the right to reschedule the services due to unforeseen circumstances such as inclement weather, illness, or other emergencies.

Limitation of Liability

The Photographer/Videographer shall not be liable for any damages, including but not limited to incidental, consequential, or punitive damages arising out of or relating to the provision of photography services, except as expressly provided herein.

Privacy and Non-Disclosure, Mutually Binding to ALL Parties to This Agreement: Regarding the use and disclosure of certain proprietary and confidential information, trade secrets, and market strategies which are not generally known by other persons, including but not limited to inventions, product description, documentation, customer information, pricing structures, technical specifications or data, product design, packaging concept or design, and distribution channels and other similar information, all parties agree; *

To hold trade secrets and strategies in confidence, and not disclose the same to any third party or use the same for competitive purpose or advantage;
That disclosure of such information, trade secrets and strategies shall not confer any rights or interest in the same;
To non-circumvention of customers and/or business relationships without prior consent through written, binding instrument amended to this agreement;
To use such information, trade secrets and strategies only for the purpose of evaluating proposals and projects or developing projects pursuant to a written agreement authorizing the application;
That this agreement does not convey any rights to reverse engineer with purpose of obtaining a working model of similar product or technology;
Not to publish, release, disclose or allow such data to be viewed or communicated in any form to any person not a party to this agreement, without the disclosing party’s prior written permission;
Upon termination of discussions to return all tangible representations of such information, trade secrets and strategies. The obligation to protect confidentiality shall survive termination of all agreements of the parties.

Governance *

This Contract shall be governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes arising out of or relating to this Contract shall be resolved through arbitration in this local jurisdiction in accordance with the rules of the courts of Nanaimo, British Columbia, Canada.

Severability *

This Contract constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
